SK hynix approves a 40 trillion won buyback and full cancellation, the largest in Korean market history
SK hynix's board on August 19 approved repurchasing and fully cancelling 40 trillion won of its own shares — about 3.3% of issued shares, and by the company's account the largest treasury-share cancellation by a Korean listed company. The shareholder-return target was raised from within 50% to over 50% of cumulative 2025–2027 free cash flow.
What Happened
SK hynix announced that its board approved, on August 19, a resolution to repurchase and fully cancel 40 trillion won of treasury shares, disclosed the same day via regulatory filing. At the prior day's closing price that is roughly 24.07 million shares, about 3.3% of the 730,492,365 shares issued. The repurchase is scheduled to run for about three months from August 20, with all repurchased shares cancelled on completion.
The Announced Programme
Alongside the buyback, the company raised its shareholder-return framework: from returning within 50% of cumulative free cash flow generated over 2025–2027 to over 50%, executed through repurchases and cancellations in parallel with dividends, with fixed and special dividends under consideration. The company states its net cash position stood at approximately 69 trillion won at the end of the second quarter.
Why This Matters
The company's stated reason is that its intrinsic value — business competitiveness, cash generation, growth potential — is not fully reflected in the current share price. A cancellation of this size is a structural change to the share count, not a gesture, and it sets a reference point for capital-return policy across Korean large caps.
What Is Still Unresolved
An announced programme is not an executed one: actual repurchase volumes and dates are established only by subsequent disclosures over the roughly three-month window. The dividend expansion is described as under consideration, not decided.
What To Watch Next
Execution disclosures against the announced 40 trillion won, the cancellation on completion, and any decision on the fixed and special dividends the company says it is considering.
